Terms of Use Effective Date: March 14, 2026

Welcome to ENTREPID® (“ENTREPID,” “we,” “our,” or “us”). These Terms constitute a legally binding agreement between you and ENTREPID®, operated by VIA Consulting Group.

1. Agreement to Terms

By accessing or using the platform located at www.goentrepid.com or any affiliated sites, mobile applications, or services (collectively, the “Platform”), you agree to be bound by these Terms of Use (“Terms”).

If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to modify these Terms at any time. Continued use of the Platform following any modification constitutes your acceptance of the updated Terms. The most current version of these Terms will always be available at www.goentrepid.com/terms.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years of age to create an account and access all Platform features. Users between the ages of 13 and 17 may access limited portions of the Platform only with verified parental or legal guardian consent. Users aged 12 and under are not permitted to create accounts or submit personal information.

2.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You agree to provide accurate, current, and complete information during registration and to keep such information updated. ENTREPID® reserves the right to suspend or terminate accounts that contain false or misleading information, or that are used in violation of these Terms.

You must notify us immediately at contact@goentrepid.com of any unauthorized use of your account or any other security breach.

3. License and Permitted Use

ENTREPID® grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or organizational non-commercial purposes consistent with these Terms.

You may not use the Platform to:

• Engage in any unlawful activity or violate applicable local, state, federal, or international laws or regulations
• Harvest, scrape, or otherwise collect data from the Platform through automated means without prior written consent
• Reproduce, distribute, modify, create derivative works from, or commercially exploit any portion of the Platform without express written authorization
• Circumvent, disable, or interfere with security features of the Platform, including Zero Trust authentication mechanisms
• Introduce malware, viruses, or other harmful code into the Platform or its connected infrastructure
• Impersonate any person or entity, or misrepresent your affiliation with any organization
• Use the Platform in any manner that could damage, disable, overburden, or impair ENTREPID® systems or networks
• Attempt to gain unauthorized access to any portion of the Platform, including federal-authorized environments or restricted community data layers

4. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, software, data architecture, AI agent configurations, the CaaS® framework, and the ENTREPID® brand — are owned by ENTREPID®, VIA Consulting Group, or its licensors and are protected by U.S. and international intellectual property laws. ENTREPID® is patent pending.

Nothing in these Terms transfers any intellectual property rights to you. You may not use the ENTREPID® name, logo, or trademarks without prior written permission.

5. User-Generated Content

By submitting, posting, or transmitting any content through the Platform (“User Content”), you grant ENTREPID® a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, distribute, and create derivative works from such User Content in connection with the operation and improvement of the Platform.

You represent and warrant that you have all rights necessary to grant this license, and that your User Content does not violate any third-party rights or applicable laws. ENTREPID® does not claim ownership over User Content but reserves the right to remove any content that violates these Terms or is otherwise objectionable, in its sole discretion.

6. Community Data and Sovereignty

ENTREPID® is built on the principle that communities own their data. While ENTREPID® provides the infrastructure for data collection, aggregation, and analytics, community-level data remains the sovereign property of the participating community and its designated stewards. ENTREPID® will not sell, transfer, or otherwise monetize community-level data without the explicit written consent of the authorized community representative.

Individual user data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Federal Platform Compliance

Users accessing ENTREPID® in connection with federally funded programs or government agency partnerships agree to comply with all applicable federal data handling, cybersecurity, and access control requirements, including but not limited to FedRAMP guidelines, FISMA requirements, and any program-specific data use agreements.

Unauthorized access to or misuse of federally authorized environments within the Platform may constitute a federal offense under 18 U.S.C. § 1030 (Computer Fraud and Abuse Act) and other applicable federal statutes.

8. Payment and Donations

If you make a financial transaction through the Platform, including donations to qualifying nonprofit organizations, all payments are processed by authorized third-party payment processors. You confirm that you are authorized to use the designated payment method. Receipts for qualifying charitable donations will be issued directly by the receiving organization.

ENTREPID® does not retain payment card information beyond what is required by the designated payment processor and does not assume liability for third-party payment processing errors.

9. Third-Party Links and Services

The Platform may contain links to third-party websites, applications, or services. ENTREPID® does not endorse, control, or assume responsibility for the content, privacy practices, or reliability of any third-party resources. Your use of third-party services is governed by their respective terms and policies. ENTREPID® is not liable for any harm or loss resulting from your interaction with third-party content.

10. Disclaimers and Limitation of Liability

You agree to indemnify, defend, and hold harmless ENTREPID®, VIA Consulting Group, and their respective affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (i) your use of the Platform; (ii) your violation of these Terms; (iii) your User Content; or (iv) your violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law provisions. Any disputes arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in the State of Georgia, and you consent to the personal jurisdiction of such courts.

13. Termination

ENTREPID® reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, all licenses granted to you under these Terms immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimer of warranties, limitation of liability, and indemnification.

14. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and any applicable community-specific agreements, constitute the entire agreement between you and ENTREPID® regarding your use of the Platform.
